Terms of service

Last updated: 2 September 2026 · Version 2026-09-02

Draft, not legally reviewedThis document is an engineering draft. It describes how the SerialFlow service is actually provided during the beta, and it has not been reviewed or approved by a lawyer. Do not rely on it as a final statement of anyone’s obligations, and do not ask a customer to accept it until counsel has read it and the bracketed placeholders below have been filled in with real values.

1. The agreement, and who it is between

These terms are an agreement between [legal entity name], of [registered address] (“SerialFlow”, “we”), and the business that creates a SerialFlow workspace (“you”, the “customer”). By creating a workspace, or by using one that somebody at your business created, you accept these terms on behalf of that business, and you confirm that you are allowed to do that.

SerialFlow is business software. It is not offered to consumers, and a workspace may only be created by or for a business that buys, holds or sells electronics. Our privacy policy is part of this agreement and explains what we do with personal data.

2. What SerialFlow is

SerialFlow is a hosted service for tracking inventory one unit at a time: purchase orders, serial and IMEI tracking, sales orders, returns, a financial ledger, shipping, label printing, a buyer portal you can offer to your own customers, and connections to marketplaces, carriers and diagnostic services. We provide it through the web at serialflowinventory.com and through the interfaces we publish for it. The features available to a workspace can differ by plan and by what you have switched on.

3. The beta

SerialFlow is currently provided as a beta. That means the service is complete enough to run a business on, and we run our own on it, but it is still changing, some features are new, and we may find and fix problems while you are using it. During the beta:

  • the service is free, subject to the caps in section 5, until [beta end date]. We will give you at least [notice period, for example 30 days] notice by email before any fee starts, and you will be able to export your data and leave before it does;
  • we publish a beta statement saying what is promised, what is out of scope, and the support promise by severity, and a list of known issues, and we keep both current. Please read them before relying on a feature they name;
  • we ask for your feedback, and we may contact you about how you use the service so that we can improve it;
  • the support promise in section 10 is a beta promise. It is real, and it is smaller than the one we will make when the beta ends.

4. Workspaces, accounts and your staff

A workspace belongs to your business. The person who creates it is its first administrator and can invite other staff, decide what each of them may do, and remove them. You are responsible for who you let in, for keeping passwords and any second factor private, and for everything done in your workspace by anyone you have given access to. Tell us straight away if you believe an account has been used without permission, and we will help you lock it.

Each person must have their own account. Accounts must not be shared, and you must give us accurate information about the business and keep it current, because we use it to contact you about the service and to print on the documents the service produces for you.

5. Fees, caps and metered services

During the beta there is no subscription fee and no card is required to sign up. Every workspace is placed on a beta plan with usage caps that we publish on our pricing page, and the service tells you when you are near or at a cap. When a cap is reached the capped feature pauses until the next period or until the cap is raised; nothing else stops, and your data is never affected by a cap.

Some features consume a third-party service that costs us money each time it is used, and those are metered: each use is recorded against your workspace and counted toward its cap. Today that is the device diagnostics service (IMEI, blacklist and carrier checks). We show you the count and the cost basis of every metered use inside the workspace. If you add a payment method through our billing provider, we will not charge it during the beta except for metered use beyond your cap that you have explicitly asked us to allow, and we will always show the price before you do.

When the beta ends, the plan you are on, its price and its caps will be set out on the pricing page and confirmed to you by email before anything is charged. Prices are in US dollars and exclude taxes, which we add where the law requires.

6. Your data

Everything you put into your workspace, and everything the service records about your stock, orders, customers, suppliers and finances, is your data. You own it. We only use it to provide the service to you, to keep the service secure, to give you support, and as the privacy policy describes. We do not sell it, and we do not show one customer’s data to another: every workspace is isolated from every other at the database level.

Where your data includes personal data about your own customers, suppliers or staff, you are the controller of that data and we process it on your instructions, as set out in the privacy policy. You are responsible for having the right to put it into the service and for the accuracy of what you enter, including the serial numbers, IMEIs and conditions you record against a unit.

You can export your data at any time in a documented, machine-readable form, and you can ask us to delete your workspace. Section 12 sets out how that works and how long it takes.

7. Acceptable use

You agree not to use the service:

  • to record, sell or ship goods you do not have the right to sell, including devices reported lost or stolen, or to alter a device’s recorded identity in order to misrepresent it;
  • in a way that breaks the law, a marketplace’s rules, a carrier’s rules, or the terms of any third-party service you connect;
  • to attempt to reach another customer’s workspace, to probe or overload the service, to scrape it, or to run automated traffic against it beyond the interfaces and limits we publish;
  • to upload anything that contains malware or that infringes someone else’s rights;
  • to resell the service, or to offer it to others as your own.

We may suspend a workspace, or a single account in it, where we reasonably believe it is being used in one of those ways or in a way that puts the service or other customers at risk. We will tell you why, and restore access as soon as the problem is resolved.

8. Marketplaces, carriers and other third parties

The service can connect to marketplaces (such as eBay), shipping carriers and shipping platforms, cloud storage, and diagnostic services. Every such connection runs under your account with that third party, on their terms, and you are responsible for keeping that account in good standing and for what the connection is allowed to do. We act on the data those services give us and we cannot correct it at the source. When a third party changes or withdraws an interface we depend on, a feature may stop working until we adapt it, and we will tell you when that happens.

Shipping labels are bought through the carrier account you connect, and label charges, adjustments and refunds are between you and that carrier or platform. Diagnostic checks are performed by a third-party service and we pass on its results as given; a result is information to help you decide, not a guarantee about the device.

9. The buyer portal

If you switch on the buyer portal, you are offering your own stock to your own buyers under your own name. You decide who may apply, who is approved, what they see, at what price, and how they pay and receive goods. The sale is between you and your buyer; we provide the software and are not a party to it. You are responsible for the terms you offer your buyers, for fulfilling their orders, and for handling their returns and their personal data lawfully.

10. Availability, support and changes to the service

We aim to keep the service available at all times and we monitor it continuously, but we do not promise uninterrupted availability during the beta. We publish incidents and planned maintenance on our status page, and we will give notice by email of any maintenance we expect to interrupt your work for more than a few minutes.

Support. During the beta, support is by email at support@serialflowinventory.com, [support hours]. We respond to a report that the service is down or that data is wrong within [critical response time], and to everything else within [standard response time]. Migration help for a business moving from another system is available on request.

Changes. We improve the service continuously and we keep a public changelog of what changed. We may add, change or remove a feature. Where a change removes something you rely on, we will tell you in advance and, wherever we can, give you a way to keep working the way you did.

11. Intellectual property

The service, its software, design and documentation belong to us and our licensors. We give you a non-exclusive, non-transferable right to use the service for your business for as long as this agreement lasts. Your data stays yours, as section 6 says. If you send us feedback or suggestions, we may use them to improve the service without owing you anything for them, and without any obligation to keep them confidential unless we agree otherwise in writing.

12. Ending the agreement, export and deletion

You can stop using the service and close your workspace at any time. We can end this agreement on [notice period] notice by email, or straight away if you break section 7 or if we are required to by law. When the beta ends, the service will continue under the plan and fees notified to you under section 5, or you may leave before then.

Export. At any time while your workspace exists, and for [export window, for example 30 days] after it is closed, you can export your data in a documented, machine-readable form, and we will help you do it.

Deletion. When you ask us to delete a workspace, or once the export window after a closure has passed, we delete its data from the live service without undue delay and in any case within [deletion window, for example 30 days], and from backups on their normal rotation, except for records we must keep by law, such as invoices, and the minimum needed to show that the deletion happened.

13. Warranties and liability

We will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as it is, and we do not promise that it will be free of errors, that it will meet every requirement of your business, or that a result returned by a third-party service is correct. You are responsible for checking the figures the service produces before you rely on them for tax, accounting or legal purposes, and for keeping your own records where the law requires you to.

To the extent the law allows, we are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss, and our total liability to you under this agreement in any twelve-month period is limited to the greater of the fees you paid us in that period and [a fixed amount]. Nothing in these terms limits liability that cannot be limited by law.

14. Governing law and disputes

This agreement is governed by the law of [governing jurisdiction], and the courts of [venue] have exclusive jurisdiction over any dispute about it. Before either of us starts proceedings we will each try in good faith to resolve the matter by talking to the other.

15. Changes to these terms

We will update this page when these terms change, and the date and version at the top always show the current text. For a change that affects your rights or what you pay we will give you at least [notice period] notice by email, and you will be asked to accept the new version the next time an administrator signs in. If you do not accept it, you may leave under section 12 and the previous version applies until you do.
